BY (1) CHECKING A BOX INDICATING YOUR ACCEPTANCE, OR (2) USING THE SERVICES IN WHOLE OR IN PART, YOU (“CLIENT,” “YOU,” OR “YOUR”) AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE ACCEPTING ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY, IN WHICH CASE “YOU” SHALL REFER TO SUCH ENTITY. IF YOU DISAGREE WITH THESE TERMS, YOU DO NOT HAVE THE RIGHT TO ACCESS OR USE THE SERVICES.
Field AI Connect provides AI-powered connectivity and automation services for field service management platforms. This Agreement governs Your access to and use of those Services. The Agreement commences on the date You first access or purchase the Services and continues until terminated in accordance with Section 9.
During the Subscription Term, Field AI Connect shall make the Services available to You in accordance with these Terms and any applicable service documentation. We shall maintain appropriate administrative, physical, and technical safeguards for the protection, security, confidentiality, and integrity of Your Customer Data and Client Credentials while held in our possession.
Subject to these Terms, You may access and use the Services solely for Your internal business purposes during the Subscription Term. You may not use the Services for the benefit of any third party except as expressly agreed in writing.
The Services integrate with Third-Party Platforms such as Jobber. You are solely responsible for: (i) acquiring all rights necessary to use those platforms; (ii) maintaining access to them; and (iii) complying with their respective terms of service and privacy policies. Field AI Connect does not warrant or support any Third-Party Platform. Because access to Third-Party Platforms is subject to the control of their respective owners, Field AI Connect does not guarantee that the Services will remain interoperable with any Third-Party Platform. Field AI Connect shall not be liable for any disruption, outage, API change, or data loss caused by a Third-Party Platform.
You shall: (i) comply with all applicable laws in connection with Your use of the Services; (ii) use commercially reasonable efforts to prevent unauthorized access to Your account and promptly notify us of any suspected breach; (iii) maintain sole responsibility for the accuracy, quality, and legality of all Customer Data; (iv) provide Field AI Connect with accurate and current Client Credentials necessary for service delivery; and (v) obtain all necessary consents and authorizations for any personal data processed through the Services.
You shall not: (i) resell, sublicense, or make the Services available to third parties without prior written consent; (ii) upload or transmit malware, infringing material, or unlawful content; (iii) reverse engineer, decompile, or attempt to extract source code from the Services; or (iv) use the Services to build a competitive product or service.
Setup, onboarding, and configuration fees are due at the time of purchase and are non-refundable once work has commenced.
Subscription fees are billed monthly or annually as selected at purchase. Subscriptions automatically renew for the same period unless You notify Field AI Connect in writing at least 7 days before the renewal date that You wish to cancel.
YOU AUTHORIZE FIELD AI CONNECT TO CHARGE YOUR DESIGNATED PAYMENT METHOD FOR ALL RECURRING FEES WITHOUT FURTHER NOTICE, UNLESS OTHERWISE REQUIRED BY APPLICABLE LAW.
If Your payment method is declined, You must provide a valid alternative promptly or Your access to the Services will be suspended. Your renewal date will not change based on the date of a successful retry charge.
Field AI Connect reserves the right to modify pricing at any time with at least 30 days' written notice. Continued use of the Services after a price change takes effect constitutes Your acceptance of the new pricing.
All fees are exclusive of Taxes. You are responsible for all applicable Taxes arising from Your purchase of the Services.
Billing disputes must be submitted in writing within 30 days of the charge date. Fees not disputed within that period are deemed accepted.
To provide the Services, Field AI Connect stores and manages Client Credentials on Your behalf using industry-standard secure credential storage (including encrypted vault storage). You grant Field AI Connect permission to store and use Client Credentials solely for the purpose of delivering the Services. We will not sell, share, or use Your credentials for any purpose outside of service delivery.
You grant Field AI Connect a limited, non-exclusive, revocable license to access, store, transmit, and process Customer Data and Client Credentials solely as necessary to provide the Services. No other rights are granted.
To the extent Field AI Connect stores Customer Data on Your behalf, that data will be made available to You for export upon written request at any time during the Subscription Term.
Field AI Connect implements commercially reasonable technical and organizational measures to protect Your data and Client Credentials against unauthorized access, disclosure, alteration, or destruction — including encrypted storage, access controls, and token rotation practices.
HOWEVER, NO SECURITY SYSTEM IS IMPENETRABLE. FIELD AI CONNECT DOES NOT GUARANTEE ABSOLUTE SECURITY AND SHALL NOT BE LIABLE FOR ANY UNAUTHORIZED ACCESS, DATA BREACH, OR SECURITY INCIDENT THAT OCCURS DESPITE OUR REASONABLE EFFORTS, UNLESS DIRECTLY AND SOLELY CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT. Security incidents arising from Your own systems, compromised credentials on Your end, third-party infrastructure failures, or events outside Field AI Connect's reasonable control are Your sole responsibility.
You are responsible for promptly notifying Field AI Connect of any suspected credential compromise. You are encouraged to rotate credentials periodically as a best practice.
Field AI Connect warrants that during the Subscription Term the Services will substantially perform as described in service documentation when used in accordance with these Terms. Our sole liability for breach of this warranty is to correct the nonconformance or provide a functionally equivalent alternative. If neither is reasonably possible, We will refund prepaid fees covering the remaining Subscription Term for the affected Service and terminate access to that Service.
EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED AVAILABILITY.
FIELD AI CONNECT IS NOT RESPONSIBLE FOR ANY PERFORMANCE, AVAILABILITY, OR SECURITY ISSUES ARISING FROM YOUR ACTIONS, THIRD-PARTY PLATFORM CHANGES OR OUTAGES, OR SERVICES PROVIDED BY THIRD PARTIES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
(i) FIELD AI CONNECT'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
(ii) IN NO EVENT SHALL FIELD AI CONNECT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Either party may terminate this Agreement with 30 days' written notice.
Field AI Connect may suspend or terminate Your access immediately upon written notice if: (i) You are in material breach of these Terms and fail to cure within 14 days of notice; (ii) You fail to pay fees when due; or (iii) Your use threatens the security, integrity, or availability of the Services or other clients.
Upon termination, You shall immediately cease use of the Services. All outstanding fees become immediately due. Field AI Connect will securely delete or return Your Client Credentials upon written request within 30 days of termination.
Both parties agree to hold the other's Confidential Information in strict confidence, not disclose it to third parties, and use it solely for the purposes of this Agreement. This obligation survives termination. Exceptions apply only where disclosure is required by law, with advance notice to the other party where legally permitted.
Field AI Connect retains all right, title, and interest in and to the Services, tooling, and platform. You retain all right, title, and interest in and to Your Customer Data. Nothing in this Agreement transfers ownership of either party's intellectual property to the other.
